Terms of Service

Last updated: September 19, 2026

These Terms of Service (“Terms”) govern access to and use of the websites, certificate-of-insurance tracking tools, policy calendar, document management features, referrals, and related services (collectively, the “Services”) offered by Active Margin Group LLC, doing business as Collateral (“Collateral,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What Collateral Is and Isn’t

Collateral is a software platform that helps businesses request, collect, organize, and monitor insurance documents and policy dates. The Services may highlight missing information, approaching expirations, or possible differences between uploaded information and requirements configured by a user.

Collateral does not certify coverage or compliance. A status displayed by the Services—such as “appears current,” “potential issue,” or similar language—is an organizational aid, not a legal, contractual, or insurance determination.

Collateral is not an insurance company, insurance agency, licensed insurance producer, law firm, compliance department, or substitute for professional advice. We do not issue policies, underwrite risk, bind coverage, handle claims, or guarantee that a policy will respond to a loss. Insurance products and advice are provided only by independent licensed insurance professionals.

2. Eligibility and Accounts

You must be at least 18 years old and authorized to act for the business or organization associated with your use of the Services. You agree to provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity conducted through your account and for managing access granted to members of your organization.

3. Using the Services

You may use the Services to manage your own business information and to request or receive documents and information from businesses with which you have a legitimate commercial relationship. You agree to:

  • Provide accurate, current, and complete information;
  • Review documents, extracted information, alerts, and statuses before relying on them;
  • Maintain your own records where required by law, contract, or business practice;
  • Use the Services only for lawful business purposes;
  • Comply with applicable privacy, communications, employment, insurance, and other laws; and
  • Obtain any permissions needed to upload, use, or share information and documents.

4. Invitations, Requests, and Communications

If you ask Collateral to contact a subcontractor, vendor, insurance professional, employee, or other person, you represent that you have a legitimate business reason and authority to provide the contact information and initiate the communication. The Services may send certificate requests, invitations, reminders, renewal notices, and other transactional messages on your behalf.

You may not use the Services to send unlawful, deceptive, abusive, harassing, or unsolicited bulk communications. We may limit or suspend messaging activity that creates complaints, security risk, or operational harm.

5. Documents, Automated Processing, and User Content

You retain ownership of information, documents, and other content you submit (“User Content”). You grant Collateral a worldwide, non-exclusive license to host, copy, process, transmit, display, and otherwise use User Content as necessary to operate, secure, support, and improve the Services.

You represent that you have the rights and permissions necessary to submit User Content and allow its use as described in these Terms and our Privacy Policy.

The Services may use automated tools, including optical character recognition and artificial intelligence, to extract, classify, summarize, or compare information. Automated results may contain errors, omit information, or misinterpret a document. You are responsible for reviewing original documents and confirming any information that affects a contract, project, payment, safety decision, or insurance decision.

6. Insurance Assistance and Third-Party Professionals

Collateral may offer optional insurance reviews, second opinions, renewal preparation, quotes, or introductions. We will share information with an independent licensed insurance professional only when you request or authorize that assistance, as described in our Privacy Policy.

You are not required to purchase insurance from a professional introduced through Collateral. Any advice, quote, policy, or insurance transaction is solely between you and the licensed professional or carrier. Collateral does not guarantee that you will receive a quote, obtain coverage, save money, or receive particular terms.

7. Prohibited Conduct

You may not:

  • Use the Services for unlawful, fraudulent, or deceptive purposes;
  • Upload malware or content that infringes, violates privacy, or otherwise harms another person;
  • Access or attempt to access another user’s account or data without authorization;
  • Probe, scan, interfere with, disrupt, or circumvent the security or operation of the Services;
  • Scrape, harvest, or extract data except through functionality we provide for your authorized use;
  • Reverse engineer or copy the Services except where applicable law expressly permits it; or
  • Use the Services to build or train a competing product without our written permission.

8. Free Service

The core Collateral tools described on our website are provided without charge on our free plan, within its published limits, such as the number of subcontractors you can track. Larger plans may be offered for a fee. We will not charge you without clearly presenting the applicable terms and obtaining any consent required by law. We may add optional services or third-party offerings in the future. Availability, limits, and features may evolve, and we may modify or discontinue portions of the Services as permitted by law.

9. Intellectual Property

Except for User Content, the Services—including software, designs, text, graphics, logos, and other materials—are owned by Collateral or its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your internal business purposes.

10. Third-Party Services

The Services may contain links to or integrations with third-party websites, software, insurance professionals, or service providers. We are not responsible for their content, availability, products, advice, security, privacy practices, or conduct. Your dealings with a third party are between you and that party.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or complete, or that displayed information, automated extraction, reminders, alerts, or classifications will be accurate or timely.

12. Limitation of Liability

To the maximum extent permitted by law, Collateral and its officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business opportunities, goodwill, coverage, or claims, arising from or related to the Services, even if advised of the possibility.

To the maximum extent permitted by law, Collateral’s total liability arising from or related to the Services or these Terms will not exceed one hundred dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Collateral and its officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable legal fees arising from your use of the Services, User Content, communications initiated through the Services, violation of these Terms, or violation of another person’s rights.

14. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate access where reasonably necessary to address a Terms violation, security threat, legal requirement, misuse, or risk to the Services or others. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnification, and dispute provisions.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved exclusively in the state or federal courts located in Worcester County, Maryland, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms and update the date above. When required, we will provide additional notice. Continued use after the updated Terms take effect constitutes acceptance.
